1. Acceptance of Terms

By accessing or using LyricMotion (the "Service"), operated by Rownd AI ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

LyricMotion is an AI-powered lyric video generator that allows you to upload audio files and lyrics to create beat-synced music videos. The Service includes free and paid subscription tiers.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and promptly update it if it changes.

4. Your Content

You retain ownership of all audio files, lyrics, and other content you upload to the Service ("Your Content"). By uploading content, you grant us a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing the Service.

You represent and warrant that you have all necessary rights to the content you upload, including any music, lyrics, and associated intellectual property. You are solely responsible for ensuring your uploads do not infringe on third-party rights.

5. Generated Videos

Videos generated by the Service are created using a combination of your uploaded content, AI-generated scene designs, and stock footage from third-party providers (e.g., Pexels). Your use of generated videos is subject to the licensing terms of the underlying stock footage. You are responsible for compliance with applicable licenses when distributing generated videos.

6. Acceptable Use

You agree not to:

• Upload content that infringes on intellectual property rights
• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, decompile, or disassemble the Service
• Interfere with or disrupt the Service or its infrastructure
• Create accounts through automated means or under false pretenses
• Resell or redistribute the Service without authorization

7. Subscriptions and Payments

Paid subscriptions are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period.

We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing period.

8. Free Tier

The free tier includes a limited number of video credits per month. Free-tier videos may include a LyricMotion watermark. We reserve the right to modify free-tier limits at any time.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from service interruptions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated by updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
